How many SCP models exist?

Steps to set up an SCP

To form a civil partnership, the first thing you need to do is draft a private or public document. This contract must detail the business activity, what each partner contributes, the percentage of participation in both profits and losses, how it is managed, who represents it and the causes that are foreseen for the liquidation and dissolution of the partnership.

This type of company does not need to be registered in the Commercial Registry, but it is necessary to take the contract to the Treasury to obtain the NIF and register it with the IAE, Economic Activities Tax.

Main characteristics of the SCP

It must be formed by a minimum of two partners. Liability for debts incurred during the activity towards third parties is personal and unlimited. All partners must register as self-employed, except in exceptional situations.

It is necessary to make a public or private contract.

There is no minimum social capital. This consists of goods, work, services or activity of society in general.

You can choose between different forms of administration and representation. Both sole administrators and joint or joint administrators are permitted.

Pays corporate tax.

In commercial matters it is governed by the Commercial Code.

Rights and obligations are governed by the civil code.
